1. PROGRAM DESCRIPTION

   The Panda Challenge Promotion (the “Promotion”), sponsored by Panda Security (the “Sponsor”) is a trade promotion which begins at 12:01 AM Pacific Time (“PT”) on February 18, 2008 and ends at 11:59 PM PT on May 18, 2008, or at such time as ten potential winning companies have been identified, whichever occurs first (the “Entry Period”). The Promotion provides qualifying companies with the opportunity to take a free Panda Security Risk Assessment using Panda Security Malware Radar software, and to win a prize if the software is unable to find any malware on their network, subject to the terms of these Official Rules. VOID OUTSIDE OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA (“U.S.”) AND WHERE PROHIBITED OR RESTRICTED BY LAW. All federal, state and local laws and regulations apply.

2. ELIGIBILITY
   • Companies

     The Promotion is open only to companies located in the U.S. who have a qualifying computer network consisting of 150 or more physical computers (each such company, a “Company”). Government organizations and Sponsor’s parents, affiliates, subsidiaries, agents, and advertising and promotion agencies are not eligible to participate. Companies must each have been doing business legally in the U.S. for at least 12 consecutive months prior to their participation in the Promotion. Further, Companies’ core businesses must not involve pornography or gambling. Companies may be required to provide proof of their eligibility in writing upon request.

   • Companies' Networks

     To be eligible for the Promotion, the Company’s computer network must comply with the following requirements:

     1. The network must contain 150 or more physical computers.
     2. All computers must be physically located in the U.S.
     3. Virtual computers and/or networks are prohibited.
     4. No Panda Security software or scans may have been run on the computers at any time prior to the qualifying Panda Security Malware Radar promotional scan (the “Challenge”).
     5. All computers on the network must have been connected to the network and to the Internet consistently for no less than six months prior to the Challenge.
     6. No computers on the network may have been re-imaged at any time within the six months preceding the Challenge.
     7. The computers on the network must not be running any roll-back type software that renews the system state on each reboot.

   • Entrants

     Individuals completing the entry process on behalf of a Company must be legal U.S. residents age 18 or older who are employed in the field of Information Technology, and must have their employer’s express permission to enter the Company into the Promotion (each such individual, an “Entrant”). It is the Entrant’s sole responsibility to review and understand his/her employer’s policies as they relate to participation in trade promotions such as this one. Sponsor disclaims any and all liability or responsibility for disputes arising between an employee and the Company related to this matter, and prizes will only be awarded in compliance with the Company’s policies. Employees, officers, directors and agents (and their immediate families and household members regardless of where they live, or members of the same households [whether related or not]) of Sponsor and its parents, divisions, affiliates, subsidiaries, agents and advertising and promotion agencies are not eligible to enter a Company into the Promotion.

3. TO ENTER

   Access the Promotion registration page at www.pandasecurity.com/pandachallenge (the “Promotion Site”) during the Entry Period and follow instructions to provide all requested information, download the free Malware Radar software, and complete the Challenge attempt no later than May 18, 2008, at 11:59 PM PT. Note that for networks exceeding 1,000 computers in size, only the first 1,000 computers will be scanned. Late, incomplete, and/or duplicate Challenge attempts will be disqualified. Limit one Challenge attempt per Company (including that Company’s parents, subsidiaries, and divisions).

4. WINNER DETERMINATION / NOTIFICATION

   The first ten (10) Companies for whom the Challenge is unable to locate any malware on that Company’s qualifying network, will each be deemed a potential winner, subject to Sponsor’s verification and audit processes and the Company’s continued compliance with these Official Rules. The promotion ends at 11:59 PM PT on May 18, 2008, or at such time as ten potential winning Companies have been identified, whichever occurs first, even if another Company is participating in a Challenge attempt at the moment the tenth potential winning Company is identified.

   For the purposes of this Promotion, malware includes any program or threat considered to be malware by the Panda Security Malware Radar software, including but not limited to the following items, whether active or latent:

   • Trojans
   • Worms
   • Hacking Tools
   • Viruses
   • Spyware
   • Adware
   • Root-Kits
   • Backdoor Tools
   • Bots
   • Dialers
   • Vulnerabilities (exploits, etc)

   Adware is defined as active or latent executables or objects that pertain to an adware application OR parasitic programs that have the ability to display advertising. Advertising cookies are NOT considered adware by the Malware Radar software.

   Potential winning companies will be notified by e-mail, mail and/or telephone. Potential winning Companies will be required to complete a notarized affidavit of eligibility, a liability release, a publicity release (where legal), and an IRS W-9 form, which must be returned within time period specified in the potential winning Company’s notification letter. Any failure to timely return required documents, noncompliance with the terms of these rules or the return of any prize or prize notification as undeliverable will cause prize to be forfeited. Odds of winning a prize depend on the skill of each Company’s Information Technology administration and other factors.

   All potentially winning Challenges will be audited by Sponsor, whose decisions are final and binding in all matters related to the Promotion. By participating, each Company agrees to assist Sponsor in completing such an audit for the purposes of winner verification. A Company is not a winner of any prize, even if the Promotion Site should so indicate, unless and until the potential winning Company’s eligibility and qualifying Challenge have been verified and the winning Company has been notified that verification is complete. Sponsor will not accept screen shots or other evidence of winning in lieu of its own verification and audit processes. Any Challenge that occurs after the system has failed for any reason is deemed a defective Challenge and is void and will not be honored.

5. PRIZES / RESTRICTIONS

   Ten (10) prizes will be made available for the Promotion; each a check in the amount of $10,000 made payable to the winning Company. Instead of receiving the prize directly, winning Companies may elect to have their prize donated to a charitable organization of their choice located in the U.S. (choice of charitable organization is subject to approval by Sponsor). As a further condition of approval, any charitable organizations will be required to provide written proof of their IRS 501(c)(3) tax status. If a prize is accepted directly by a Company, all taxes (including without limitation Federal, state and local taxes) in connection with the prize, and the reporting consequence thereof, will be the sole responsibility of the winning Company. No prize transfer. No prize substitution except by Sponsor and due to unavailability, in which case a prize of comparable or greater value will be awarded. Prizes will not be awarded to individuals. Unclaimed prizes will not be awarded. Under no circumstances will more than ten (10) prizes be awarded. In the event that technical, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claimants.

6. GENERAL

   The decisions of Sponsor, its parents, divisions, affiliates, subsidiaries, agents and advertising and promotion agencies (collectively, the “Promotion Entities”) are final on all matters of fact, interpretation, eligibility, procedure and fulfillment. Entry information and other submitted materials become the property of the Promotion Entities and will not be acknowledged or returned. Neither the Promotion Entities nor Internet access providers are responsible for incomplete, late, lost, misdirected entries or postage-due mail, or for any technical malfunction, human error, lost/delayed data transmission, omission, interruption, deletion, defect, or line failure in connection with any telephone network, computer equipment, software or any combination thereof. Entries are void if unreadable, inaccurate, incomplete, mutilated, tampered with, forged, mechanically reproduced, irregular in any way, or otherwise not in compliance with these Official Rules. Although Sponsor attempts to ensure the integrity of the Promotion, the Promotion Entities are not responsible for the actions of entrants or other individuals in connection with the Promotion, including entrants' or other individuals' attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity, or proper conduct of the Promotion. The Promotion Entities are not responsible for injury or damage to Entrants’, to Companies’, or to any other person's computer(s), other equipment, or person(s), related to or resulting from participation in the Promotion or downloading materials from or using the Promotion Site. If, for any reason, the Promotion is not capable of running as planned by reason of damage by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical limitations or failures, strikes, industry conditions, bankruptcy or liquidation, marketplace demands, applicable law, unforeseen obstacles, or any other causes which, in the sole opinion of Sponsor, could corrupt, compromise, undermine, or otherwise affect the administration, security, fairness, integrity, viability, or proper conduct of the Promotion, Sponsor reserves the right in its sole and absolute discretion to cancel, terminate, modify, or suspend all or any part of the Promotion, and to proceed in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion. In the event of any conflict between these Official Rules and any abbreviated rules or advertising distributed in connection with the Promotion, the terms and conditions of these Official Rules shall prevail. Entry must be made by the Entrant and via the means described above in Section 3 only. In the event of a dispute regarding the identity of the person submitting an online entry, such entry will be deemed to be submitted by the person to whom the e-mail account (as declared in such entry) is registered at the time of entry. Use of any device to automate entry is prohibited.

7. RIGHTS OF PUBLICITY

   By entering this Promotion, unless prohibited by law, each potential winning Company (and associated Entrant) agrees that Sponsor and its designees shall have the right to use such party’s name in any and all media now or hereafter devised worldwide in perpetuity, without additional compensation, notification or permission, unless prohibited by law.

8. CONDUCT

   THESE OFFICIAL RULES WILL BE POSTED AT THE PROMOTION SITE www.pandasecurity.com/pandachallenge THROUGHOUT THE ENTRY PERIOD. BY ENTERING AND PARTICIPATING IN THIS PROMOTION, ENTRANTS AND COMPANIES (A) FULLY AND UNCONDITIONALLY AGREE TO BE BOUND BY THESE OFFICIAL RULES AND BY ALL DECISIONS OF THE PROMOTION ENTITIES (WHOSE DECISIONS SHALL BE FINAL AND BINDING IN ALL RESPECTS), INCLUDING WITHOUT LIMITATION DECISIONS REGARDING ELIGIBILITY, WINNERS AND THE INTERPRETATION OF TERMS USED IN THESE OFFICIAL RULES; AND (B) REPRESENT AND WARRANT THAT ALL INFORMATION PROVIDED BY ENTRANT AND COMPANY IN CONNECTION WITH THE PROMOTION IS TRUE, ACCURATE AND COMPLETE. THE PROMOTION ENTITIES RESERVE THE RIGHT, AT ANY TIME AND AT THEIR SOLE DISCRETION, TO DISQUALIFY AND/OR DEEM INELIGIBLE TO PARTICIPATE IN THIS PROMOTION OR ANY FUTURE PROMOTION OR OTHER PROMOTIONS OF THE PROMOTION ENTITIES, ANY INDIVIDUAL OR COMPANY IT SUSPECTS: (A) TO BE TAMPERING WITH THE ENTRY PROCESS OR THE OPERATION OF THE PROMOTION OR THE PROMOTION SITE; (B) TO BE ACTING IN VIOLATION OF THE OFFICIAL RULES OR THE PROMOTION SITE'S TERMS OF SERVICE, PRIVACY POLICY OR OTHER TERMS, CONDITIONS OR GUIDELINES; (C) TO BE ACTING IN BAD FAITH OR IN A DISRUPTIVE MANNER, OR WITH THE INTENT TO ANNOY, ABUSE, THREATEN OR HARASS ANY OTHER PERSON; (D) TO HAVE FAILED TO AGREE TO THESE OFFICIAL RULES; OR (E) TO BE IN VIOLATION OF THESE OFFICIAL RULES. ANY ATTEMPT BY A COMPANY, ENTRANT, OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY INTERNET SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF THESE OFFICIAL RULES AS WELL AS CRIMINAL AND CIVIL LAWS. SHOULD THE PROMOTION ENTITIES BELIEVE OR BECOME AWARE THAT SUCH AN ATTEMPT HAS BEEN, IS BEING, OR WILL BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY RESPONSIBLE ENTRANT(S) AND OTHER RESPONSIBLE PARTY(S) IN THE ATTEMPTED DAMAGE TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WITHOUT LIMITATION CRIMINAL PROSECUTION.

9. RELEASE AND INDEMNIFICATION

   BY ENTERING THE PROMOTION, ENTRANTS AND COMPANIES RELEASE AND HOLD THE PROMOTION ENTITIES HARMLESS FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS, AND ACTIONS OF ANY KIND ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE PROMOTION OR PARTICIPATION IN ANY PROMOTION-RELATED ACTIVITY (INCLUDING WITHOUT LIMITATION THE REMOVAL FROM THE SITE OF, OR DISCONTINUATION OF ACCESS TO, ANY MATERIALS), OR RESULTING DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF ANY PRIZE AWARDED IN CONNECTION WITH THE PROMOTION, INCLUDING WITHOUT LIMITATION PERSONAL INJURY, DEATH, AND/OR PROPERTY DAMAGE, AS WELL AS CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY.

10. LIMITATION OF LIABILITY

    IN NO EVENT WILL THE PROMOTION ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING OUT OF ANY ACCESS TO AND/OR USE OF THE PROMOTION SITE, THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE PROMOTION SITE, THE REMOVAL FROM THE PROMOTION SITE OF, OR DISCONTINUATION OF ACCESS TO, ANY MATERIALS, OR THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF, OR PARTICIPATION IN, ANY PRIZE AWARDED IN CONNECTION WITH THE PROMOTION. WITHOUT LIMITING THE FOREGOING, THE PROMOTION, ALL PRIZES, AND ALL MATERIALS PROVIDED ON OR THROUGH THE SITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. GOVERNING LAW

    The Promotion and these Official Rules are governed by and shall be construed in accordance with the substantive laws of the State of California (as distinguished from the choice of law rules) and the United States of America applicable to contracts made and performed entirely in California and where the relevant contacts are with such state. All applicable federal, state, and local laws and regulations apply.

12. MISCELLANEOUS
    1. Privacy: Information submitted in connection with the Promotion will be treated in accordance with these Official Rules and Sponsor’s Privacy Policy (as may be amended from time to time), available via www.pandasecurity.com; provided, that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of these Official Rules shall prevail. By entering this Promotion, each Company (and associated Entrant) agrees that the Promotion Entities may use any gathered information for the purposes of winner verification and prize fulfillment.
    2. Severability: Headings: If any provision of these Official Rules is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Official Rules and shall not affect the validity and enforceability of any remaining provisions. Headings and captions are used in these Official Rules solely for convenience of reference, and shall not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision hereof.
    3. Winners: A list of winning companies will be posted at www.pandasecurity.com/pandachallenge for a period of 60 days following the end of the Promotion and final verification of winners.
